The Debtor requests expedited consideration of the bidding procedures on October 14, 2026, and in support thereof states as follows: PRELIMINARY STATEMENT 1. The Debtor’s principal assets are a substantial brewing, beverage production, and packaging system located at its former leased facility in Lakeland, Florida. The Debtor is not presently operating at the Facility, the equipment remains in place, and storage, insurance, utilities, access, and other administrative issues continue to accrue. A prompt and transparent sale process is necessary to preserve and maximize value. The continued delay creates administrative expense and risks erosion of value. A prompt, transparent sale process is therefore necessary. 2. On September 25, 2026, the Debtor received a letter of intent to purchase certain equipment and machinery from E-TOWN MARKETING & DISTRIBUTING, LLC (“E-Town”), the stalking horse bidder, at a proposed cash purchase price of $2,200,000.00, subject to Bankruptcy Court approval. The LOI provides for a $50,000.00 cash deposit placed in escrow held by Debtor’s counsel in trust as escrow agent by October 13, 2026; a seven-day inspection period under a definitive purchase agreement; closing on or before October 28, 2026 without a financing contingency; a single closing condition of clear title; and removal of the purchased equipment within sixty days at E-Town's cost. A copy of the LOI is attached as Exhibi
